In plain English: these are the terms we work to with every client, in the UK and abroad. Your proposal sets out exactly what we'll deliver, when and for how much. These terms cover everything else, fairly for both sides. If anything is unclear, just ask us before you sign.
1. About us and these terms
Life Growth Digital is a trading name of Life Growth Limited, a company registered in England and Wales under company number 12999552, with its registered office at 43 Mayfair Grove, Priorslee, Telford, England, TF2 9GJ ("we", "us", "our"). You can contact us at hello@lifegrowth.digital.
These terms apply to all services we provide, including strategy, website design and development, app development, digital marketing, customer engagement, AI consultation, and video and photography production. Our services are intended for businesses, charities and other organisations. If you are buying as a private individual (a consumer), section 22.8 applies and your statutory rights are not affected.
2. Definitions
- Proposal: our written proposal, quote or statement of work describing the services, deliverables, fees and timeline for your project.
- Agreement: the accepted Proposal together with these terms.
- Deliverables: the final work we produce for you as described in the Proposal, such as a website, app, film, design, report or campaign.
- Client Materials: anything you or people acting for you provide to us, including text, images, logos, data, footage, access and instructions.
- Working Day: Monday to Friday, excluding public holidays in England.
3. How our agreement is formed
- A Proposal is valid for 30 days unless it states otherwise.
- The Agreement starts when you accept the Proposal, whether by signing it online or on paper, confirming in writing (including by email), or paying the first invoice.
- If there is a conflict between the Proposal and these terms, the Proposal takes priority.
- Electronic signatures and online acceptance are as valid as handwritten signatures.
- Your own purchase order or terms do not apply unless we agree to them in writing.
4. Our services
- We will provide the services with reasonable skill and care, in line with good industry practice and the Proposal.
- We may use trusted freelancers, specialists and subcontractors (for example a drone pilot or developer). We remain responsible for their work.
- We will keep you informed of progress and let you know promptly about anything likely to affect the timeline or budget.
5. Your responsibilities
Great results depend on good collaboration. You agree to:
- Provide Client Materials, information, access and decisions on time, and make sure they are accurate.
- Name a decision-maker who can give consolidated feedback and approvals.
- Make sure you have the rights to all Client Materials you give us, and that using them as instructed will not infringe anyone else's rights or break any law.
- Obtain any permissions that are your responsibility, such as access to your premises, permission from your landlord and the agreement of your staff to appear on camera.
- Check the legal compliance of content you supply or approve, including product claims, regulated statements, terms of sale and privacy notices.
- Keep your own accounts, passwords and data secure, and never send passwords to us by unsecured email.
If delays or problems are caused by something you were responsible for, we will agree a revised timeline with you, and we may charge for additional time reasonably incurred.
6. Fees, payment and taxes
- Our fees are set out in the Proposal. Unless stated otherwise, fees are fixed for the agreed scope.
- We invoice according to the payment schedule in the Proposal. Unless agreed otherwise, a deposit is due before work starts, and invoices are payable within 14 days of the invoice date. Verified Nectar clients receive 60-day payment terms.
- Unless stated otherwise, fees are quoted in pounds sterling (GBP). We can invoice in other currencies, such as USD or AED, by agreement. You are responsible for any bank, transfer or currency conversion charges, so that we receive the full invoiced amount.
- We are not currently registered for VAT, so no VAT is charged. If we become VAT registered, VAT will be added to future invoices at the applicable rate and we will tell you in advance.
- Expenses such as travel, accommodation, equipment hire, location fees, stock licences or third-party subscriptions are only charged if they are set out in the Proposal or approved by you in advance.
- If an invoice is overdue, we may pause work until it is paid, and we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. Ownership of Deliverables only transfers once all fees are paid (see section 10).
- If you disagree with an invoice, please tell us within 7 days. The undisputed part remains payable on time.
7. Changes to the scope
- Either of us can request a change to the scope, timeline or Deliverables.
- We will tell you the cost and any effect on the timeline before doing extra work. Changes only go ahead once you approve them in writing, including through our online change approval.
- Small adjustments within the agreed revision rounds are not treated as changes.
8. Reviews, revisions and approval
- Unless the Proposal says otherwise, two rounds of revisions are included at each review stage. Further rounds are charged at our standard rates.
- Please give consolidated feedback within 5 Working Days of each review.
- A stage or Deliverable is approved when you confirm in writing (including through our online stage approval), when you use it publicly, or if you don't raise any issues within 10 Working Days of it being delivered for review.
- Changes to approved work may be treated as a change request. Approval does not affect our responsibility to fix defects in our own work.
9. Timelines
Timelines in the Proposal are our best estimate and depend on you providing Client Materials and feedback on time. We will do our best to meet agreed dates, and we will tell you as soon as possible if something puts them at risk. We are not responsible for delays caused by you, third parties outside our control (such as app store reviews, domain registrars or platform outages), or events under section 20.
10. Intellectual property
- Your materials: You keep ownership of your Client Materials. You give us permission to use them to provide the services.
- Deliverables: Once we have received payment in full, we assign to you the copyright and other intellectual property rights in the Deliverables created specifically for you, such as the final designs, website or app code written for you, and final edited films.
- Our pre-existing tools: We keep ownership of our pre-existing materials, know-how, templates, code libraries and methods. Where these form part of a Deliverable, we give you a perpetual, worldwide, royalty-free licence to use them as part of that Deliverable.
- Third-party materials: Fonts, stock images and footage, music, plugins, themes, open-source software and similar items are licensed by their owners on their own terms. We will choose licences suitable for the agreed use, and you must follow them. Uses beyond the agreed scope, such as broadcast TV or large paid advertising campaigns, may need an extended licence.
- Working files: Raw footage, project files, design source files and unused material are not included in the Deliverables unless the Proposal says so. They are available on request and may carry a charge.
- Portfolio: We may show the finished work and your name or logo in our portfolio, showreel, website and social media, unless you tell us in writing that the work is confidential.
11. Third-party services and accounts
- Many projects rely on third-party services, such as domain registrars, hosting, app stores, payment providers, CRMs, email platforms and social networks. These are provided under the third party's own terms, and we are not responsible for their availability, pricing changes or decisions (for example, an app store rejecting an app).
- Wherever possible, accounts should be set up in your organisation's name and paid for directly by you, with us invited as a user. Where we hold an account on your behalf, we will transfer it to you on request once fees are paid.
12. Film and photography shoots
- We will carry out a risk assessment for each shoot and follow your site rules and safety procedures.
- We will collect consent and release forms from identifiable contributors we film. You are responsible for arranging access to, and permission to film at, your own premises and for informing your staff and visitors that filming will take place.
- For outdoor shoots, we will agree a backup date. If weather makes filming unsafe or unsuitable, we will reschedule at no extra cost.
- Our Shoot Guide explains how we prepare and work on location.
13. Confidentiality
Each of us will keep the other's confidential information private and only use it to perform the Agreement. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law. These obligations continue for three years after the Agreement ends. We are happy to sign your non-disclosure agreement or our own mutual NDA.
14. Data protection
- Each of us will comply with applicable data protection law, including the UK GDPR and the Data Protection Act 2018.
- Where we process personal data on your behalf (for example, your customers' data in a website, app or CRM), we do so as your processor under our Data Processing Agreement, which forms part of the Agreement.
- Our Privacy Policy explains how we handle personal data as a controller.
15. Support and care plans
- Projects include 30 days of support after launch (90 days for verified Nectar clients) to fix any defects in our work.
- Care plans, support plans and retainers are billed monthly in advance. You can cancel at any time with effect from the end of the current paid month, unless the Proposal states a minimum term.
- Unused retainer hours roll over for one month and then expire.
- Support does not cover problems caused by changes made by you or third parties, third-party service failures, or new features. We can quote for these separately.
16. Cancellation and rescheduling
- You can cancel a project at any time by giving us written notice. You will pay for work completed up to the date of cancellation, plus any non-refundable costs we have committed to on your behalf. Deposits are non-refundable once work has started, but they count towards work completed.
- Shoot days and workshops can be rescheduled free of charge with at least 7 days' notice. With less notice, we may charge for costs we cannot recover, such as crew bookings, equipment hire and travel.
- If we need to cancel or reschedule because of illness or an emergency, we will rebook as soon as possible at no extra cost to you, or refund any fees paid for work not delivered.
17. What we don't promise
We will always work hard to achieve your goals, but results depend on many factors outside our control. Unless the Proposal expressly says otherwise, we do not guarantee specific results, such as search rankings, traffic, sales, leads, views, app store approval or return on investment.
18. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
- Subject to section 18.1, we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill, anticipated savings or data (we recommend you keep your own backups).
- Subject to section 18.1, our total liability under or in connection with the Agreement is limited to the total fees you have paid us under it in the 12 months before the claim arose.
- You will compensate us for losses arising from a third-party claim that Client Materials you provided infringe someone else's rights or break the law.
- We hold public liability and equipment insurance. Certificates are available on request.
19. Ending the agreement
- Either of us can end the Agreement with 14 days' written notice. Section 16.1 applies to work completed and costs incurred.
- Either of us can end the Agreement immediately if the other seriously breaches it and does not fix the breach within 14 days of being asked, or becomes insolvent.
- When the Agreement ends, you will pay all outstanding fees, and we will hand over completed Deliverables that have been paid for. Sections that are intended to continue (such as intellectual property, confidentiality, liability and payment) will continue to apply.
20. Events outside our control
Neither of us is responsible for delays or failures caused by events beyond our reasonable control, such as extreme weather, natural disasters, pandemics, war, civil unrest, government action, travel disruption, or failures of utilities or internet services. We will tell each other promptly and agree a way forward. If the event continues for more than 60 days, either of us can end the Agreement by written notice, and fees will be due only for work completed.
21. Clients outside the UK
- We work with clients worldwide, including in Europe, the United States, the Middle East and Africa. These terms apply to international work in the same way as UK work, unless the Proposal says otherwise.
- You are responsible for any taxes, duties or withholding taxes that apply in your country. If you are required to withhold tax from a payment, you will pay us an additional amount so that we receive the full invoiced fee, unless we agree otherwise in writing.
- For filming or work on location abroad, the Proposal will set out travel, permits, insurance, visas and equipment costs (such as an ATA Carnet). You will help us obtain any invitation letters, local permissions or permits that require your involvement.
- You are responsible for making sure Deliverables comply with laws and regulations specific to your country or market (such as local advertising, consumer protection, accessibility or data protection rules) where these differ from UK law, unless the Proposal says we will advise on them.
- We comply with UK sanctions and export rules. We may decline or stop work where providing the services would breach applicable sanctions.
- The Agreement is written in English. If it is translated, the English version takes priority.
22. General
- Entire agreement: the Agreement is the whole agreement between us about the project and replaces any earlier discussions.
- Notices: notices can be given by email to the addresses we use for the project.
- Assignment: neither of us may transfer the Agreement without the other's consent, except that we may subcontract as described in section 4.
- Severance: if any part of these terms is found to be invalid, the rest still applies.
- Waiver: a delay in enforcing a right does not mean we have given it up.
- Third parties: nobody other than you and us has rights under the Agreement under the Contracts (Rights of Third Parties) Act 1999.
- Law and disputes: the Agreement is governed by the law of England and Wales. We will always try to resolve any disagreement informally first. If we cannot, the courts of England and Wales have exclusive jurisdiction, unless the Proposal for an international project states otherwise.
- Consumers: if you are buying as a consumer rather than for a business, you may have a legal right to cancel within 14 days of entering into the Agreement. If you ask us to start work within that period, you may have to pay for work done before you cancel. Nothing in these terms affects your statutory rights as a consumer.
- Changes to these terms: we may update these terms from time to time. The version in force when you accept a Proposal applies to that project.
